1. Acceptance of Terms

By accessing or using LocoreMind's models, software, Cloud API, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

LocoreMind provides specialized AI agent models available through two delivery methods:

  • Cloud API (Paid Service): A hosted, token-based API providing access to our specialized AI agents (Code Assistant, Data Analyst, Social Agent, and others) through an OpenAI-compatible REST endpoint.
  • Self-Hosted (Free, Open Source): Open-source model weights that you may download and run on your own hardware under the applicable open-source license.

3. Subscription Plans & Billing

Access to the Cloud API is offered through subscription plans:

  • Free Plan: Limited daily token quota at no charge, subject to rate limits.
  • Pro Plan: Monthly subscription with increased token quota, billed monthly at the rate displayed on our pricing page.
  • Enterprise Plan: Monthly subscription with high-volume token quota and additional features, billed monthly at the rate displayed on our pricing page.

Billing terms:

  • Paid subscriptions are billed monthly on the anniversary of your subscription start date.
  • Payments are processed via Stripe. By subscribing, you authorize recurring charges to your payment method.
  • Unused tokens do not roll over to the next billing cycle.
  • Prices are listed in USD and are exclusive of applicable taxes.

4. Cancellation & Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • No prorated refunds are provided for partial billing periods.
  • After the billing period ends, your account will revert to the Free plan.
  • Refund requests for the current billing cycle may be submitted within 7 days of the charge date by contacting support. Refunds are granted at our discretion.

5. Use of Services

You may use our Services for lawful purposes only. You agree not to use the Services:

  • In any way that violates applicable laws or regulations
  • To generate malicious code or content intended to harm others
  • To infringe upon intellectual property rights of others
  • To engage in unauthorized access to computer systems
  • To resell, redistribute, or sublicense API access without written permission
  • To exceed rate limits or circumvent usage restrictions
  • For any illegal or harmful activities

6. API Usage & Rate Limits

Cloud API usage is subject to the token quotas and rate limits of your subscription plan. We reserve the right to:

  • Throttle or suspend access if usage exceeds plan limits
  • Modify rate limits with reasonable notice
  • Suspend accounts engaged in abusive usage patterns

7. Open Source License

LocoreMind model weights released for self-hosting are provided under open-source licenses as specified in each repository. You are free to use, modify, and distribute these models in accordance with the applicable license terms. The Cloud API service itself is a separate commercial offering and is not covered by open-source licenses.

8. No Warranty

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOU USE THE SERVICES AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCOREMIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Model Output

AI models may generate inaccurate, biased, or inappropriate content. You are solely responsible for reviewing, validating, and using any outputs generated by our models, whether through the Cloud API or self-hosted deployment. We do not endorse or take responsibility for model-generated content.

11. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. We will notify subscribers via email of material changes to billing or subscription terms at least 14 days in advance. Your continued use of the Services after changes are posted constitutes acceptance of the modified terms.
